1 - Acceptance of Terms
By accessing or using the website located at undeniablehealth.ai (the "Site"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Site. These Terms apply to all visitors, including prospective clients, investors, partners, and job candidates.
Undeniable Health AI, Inc. ("Undeniable Health," "we," "our," or "us") reserves the right to modify these Terms at any time. Changes are effective upon posting. Your continued use of the Site after any change constitutes acceptance of the revised Terms.
2 - Description of the Site
The Site is a marketing and informational website for Undeniable Health, a technology-enabled denial recovery and revenue cycle management service. The Site may include information about our services, company news, contact forms, demo request forms, and email sign-up functionality.
The Site does not constitute a platform through which healthcare services are delivered or through which Protected Health Information (PHI) is processed. Any PHI processed in connection with the actual delivery of our services is governed exclusively by the applicable Business Associate Agreement between Undeniable Health and the covered entity client, not by these Terms.
3 - Permitted Use
You may use the Site solely for lawful purposes and in accordance with these Terms. You agree not to:
Use the Site in any way that violates applicable federal, state, or local law or regulation
Transmit any unsolicited commercial communications or spam
Attempt to gain unauthorized access to any part of the Site or its related systems
Introduce malicious code, viruses, or other harmful material
Scrape, harvest, or otherwise collect data from the Site without our express written permission
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Use the Site to transmit any PHI or other sensitive health information
4 - Intellectual Property
All content on the Site, including text, graphics, logos, and software, is the property of Undeniable Health AI Inc. or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.
The Undeniable Health name and logo are trademarks of Undeniable Health AI Inc.. Nothing on the Site grants any license to use our trademarks.
5 - User Submissions
If you submit information through a contact form, demo request form, or email sign-up, you represent that the information you provide is accurate and that you have the authority to submit it. You grant us the right to use your contact information to respond to your inquiry and, where applicable, to communicate with you about our services.
Do not submit any PHI, patient information, or sensitive personal health data through any form on the Site. Our website forms are not designed, secured, or intended for the transmission of health information.
6 - No Medical or Legal Advice
Nothing on the Site constitutes medical, legal, financial, or regulatory advice. All content is provided for general informational purposes only. You should consult qualified professionals before making any decisions based on information found on the Site.
7 - Third-Party Links
The Site may contain links to third-party websites. We do not control those sites and are not responsible for their content, privacy practices, or terms of use. A link does not imply our endorsement.
8 - Disclaimer of Warranties
THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
9 - Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, UNDENIABLE HEALTH AI, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
10 - Indemnification
You agree to indemnify and hold harmless Undeniable Health AI Inc. and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site or your violation of these Terms.
11 - Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in New York, and you consent to personal jurisdiction in those courts.
12 - HIPAA Notice
Undeniable Health is a business associate, as that term is defined under the Health Insurance Portability and Accountability Act of 1996 and its implementing regulations (collectively, "HIPAA"). This Site is not a covered platform under HIPAA. Any PHI that Undeniable Health processes on behalf of a client is handled pursuant to the Business Associate Agreement executed between Undeniable Health and that client, and is not subject to these Terms.
If you are a covered entity or business associate seeking to engage our services, please contact us directly to initiate a Business Associate Agreement prior to sharing any PHI.
13 - AI-Powered Services Disclosure
Undeniable Health uses artificial intelligence and machine learning technologies as part of its denial recovery services. Information about our AI capabilities on this Site is provided for general informational purposes. The actual use of AI in the delivery of our services is governed by client service agreements and applicable BAAs, not by these Terms.
Our AI systems do not operate autonomously in ways that affect patient care or clinical decision-making. They are used to support administrative and billing functions under human oversight.
